Registration and Account Security In order to invite you to use the Service and enjoy the real-time and convenience of online services, your WPG’s sales representative/contact person, who usually serves you offline, will set up your WPGDADABANG account for you based on the email address you provided and send you a registration verification letter by email, along with a default password. Please change your password immediately after your completion of the initial registration process for the Service. Please note that, in order to protect the security of your WPGDADABANG account, please be sure to keep your password safe and in confidence. You also agree to the following: (1) if your password or account is stolen or if there are any other security issues, you will immediately notify WPG’s sales representative/contact person so that they can reset it for you, and (2) to sign out of your account after each session of using. To ensure the security of your account, please avoid reusing your WPGDADABANG account password in third-party applications. If you confirm during registration, that you are using the Service on behalf of the company you serve, it means that the company you represent accepts these Terms. Through the activities performed on your account, WPG will consider it as contacting and communicating with the company you represent. If there are any changes in the company you serve or if you are no longer handling related matters on behalf of the company, please notify WPG immediately in writing to update the relevant settings. Changes and Updates to the Terms By entering, accessing, browsing or using the Service, you individually or on behalf of any entity that you represent or appear to represent (collectively or individually, referred to as "you") confirm that you have read, understood, and agreed to accept all the contents of these Terms. In addition, when you use the Service, you may be required to comply with the additional service terms or related regulations announced by WPG based on the nature of that specific service. These additional service terms or related regulations (including but not limited to "Privacy Statement"( https://www.wpgholdings.com/about/info/en/privacy-statement ) or "Cloud Services Customer Notification Statement" ( https://www.wpgholdings.com/about/info/en/customer-notification )) are also incorporated into and become a part of these Terms. WPG reserves the right to modify or change the contents of these Terms at any time to timely reflect changes in the law or the content of the Service. We recommend that you pay close attention to any potential modifications or changes to these Terms. If you continue to enter, access, browse, or use the Service after the modification or change of these Terms, it will be deemed that you have read, understood, and agreed to accept such modification or change. If you do not agree with the contents of these Terms, or if your country or jurisdiction excludes any or all of the content of these Terms, you shall immediately stop using the Service. Ordering Services If you place an order for products through the Service, the information displayed on our service website, such as products and prices , is an invitation to treat, and your order will be an offer to purchase the goods. After receiving your order, we will send you an email or confirm on the website of the Service that we have received your order, but such behavior does not mean that we have accepted your order. Otherwise, this will cause losses to WPG and WPG will execute the shipment and issue an invoice according to the content of your order. Compliant Use of the Service Without the explicit written consent of WPG, you agree not to reproduce, copy, sell, resell, access, or exploit the Service or any portion thereof for any commercial purpose. You agree to use the Service only within the scope permitted by law and not to misuse the Service. For example, you shall not interfere with the operation of the Service, attempt to access the Service through methods other than the interface and operating instructions provided by us, and shall not download, or copy account information, or make other use of the account, for the benefit of any third party. You shall not make any derivative use of the Service or its content, or use data extraction, web scraping or similar data collection and extraction tools. Due to the global nature of the internet, you agree to comply with the local laws and regulations of the place relating to the sales of products, and use the Service to the extent permitted by the law (including applicable export and re-export control laws and regulations). System Data Storage, and System Interruptions or Failure The system data of the Services is primarily stored in the data center located in Hong Kong; provided, however, that WPG reserves the right to adjust the data storage location(s) based on operational requirements, cloud infrastructure adjustments, or data redundancy. WPG will maintain the normal operation of the Service in accordance with generally reasonable techniques and methods for data security and protection measures implemented in cloud services, please refer to the "Cloud Services Customer Notification" separately announced by WPG. However, WPG may stop or suspend the Service in the following circumstances: 1. Necessary maintenance and construction for electronic communication equipment of WPGDADABANG; 2. Sudden failure of electronic communication equipment; 3. Suspension of electronic communication service applied for by WPGDADABANG, resulting in the inability to provide the Service; 4. WPG is not able to provide the Service due to force majeure or other causes beyond its control. The occurrence of unexpected interruptions or failures in the Service may cause inconvenience, data loss, error, tampering or other economic losses in your use. Please take your own protective measures when using the Service, such as updating your password regularly. WPG shall not be liable for any damages incurred by you as a result of your use of (or inability to use) the Service, except in cases of intentional misconduct or gross negligence. In the event of significant maintenance or modifications to the Service, we shall notify you via service notifications, email, or other appropriate means. Such notice shall include, but not be limited to, the scope of impact, scheduled maintenance window, expected completion time, and any actions required on your part. Service Termination If any of the following circumstances occur, WPG shall have the right to terminate the provision of this Service after notifying you, and to suspend or delete your account: 1. You have specifically violated these Terms. 2. You have specifically violated the terms of service of other WPG services or related regulations, or WPG reasonably believes that you are highly likely to violate these Terms. 3. You have violated applicable laws or regulations, or pursuant to laws applicable to this Service, or the orders of relevant competent authorities or court rulings, WPG is no longer permitted to provide this Service to you. 4. We reasonably believe that you have engaged in abusive conduct (including but not limited to providing your account to others for use, using another person's account without authorization, providing or uploading false or misleading information, or using your account for fraud, phishing, cheating, or other dishonest activities) that has materially affected other users, WPG, this Service, or other third parties. 5. WPG, based on business operational considerations, decides to modify or discontinue all or part of this Service. Alternatively, if any of the following circumstances occur, you shall be deemed to have unilaterally terminated your use of this Service, and WPG Holdings may suspend or delete your account: 1. You proactively notify WPG that you will no longer use this Service or apply to deregister your account. 2. Your account has had no login activity for an extended period (more than one year), in which case you shall be deemed to no longer use this Service. After this Service is terminated for the reasons stated above, all your rights under this Service shall immediately become void; however, the rights and obligations that have already accrued between you and WPG under these Terms shall not be affected. In addition, the following provisions of these Terms regarding "Protection of Intellectual Property Rights," "Confidentiality," " Disclaimer of Warranties and Limitation of Liability," "Limitation of Liability," and " Governing Law, Applicable Version, and Dispute Resolution" shall remain in effect after the termination of this Service. Links to Third Party Websites The Service may provide links to other websites or online resources. By following these links, you may be directed to websites operated by other companies, but this does not imply that WPG has any relationship with those companies. Websites operated by other companies are the sole responsibility of those operating companies and are beyond the control and responsibility of WPG. WPG does not warrant the suitability, reliability, timeliness, effectiveness, accuracy and completeness of any search results or external links. You are possible to search or link to websites that you find offensive or unnecessary as a result of internet operations. In such cases, WPG recommends that you do not browse or leave such websites as soon as possible. You also agree that WPG shall not be liable for any damages resulting from your access to non-related service websites, and it shall not bear any liability for damages compensation. Protection of Intellectual Property Rights The software, programs, and all content on the WPGDADABANG used in the Service, including but not limited to works, pictures, files, information, data, website structure, website arrangement, web design, member contents, etc., are owned by WPG or other rights holders in accordance with the law, including but not limited to trademark rights, patent rights, copyrights, trade secrets and proprietary technologies. No one may use, modify, reproduce, publicly broadcast, publicly transmit, publicly perform, create derivative works, distribute, publish, publicly disclose, reverse engineer, decompile or disassemble them without authorization. If you wish to quote or reproduce the aforementioned software, programs or content of the WPGDADABANG, unless explicitly permitted by law, you must obtain the prior written consent from WPG or other rights holders in accordance with the law. Respecting intellectual property rights is your obligation, and you shall be liable for damages to the rights holders in case of violation. The products, names, designs, etc. relating to the Service which WPG uses for marketing and publicizing (hereinafter referred to as "WPG Trademarks"), are protected by the Trademark Act and the Fair Trade Act based on their registration or use status. You agree to not use the WPG Trademarks in any way without the prior written consent of WPG. The use of the Service does not imply that the rights holders grant you any intellectual property rights to the Service or the content you access, nor does it authorize you to use any trademark, brand mark or logo used in the Service. Unless authorized by the relevant rights holders or permitted by law, you may not frame or use frame technology to attach the trademarks, logos, or other proprietary information (including images, text, web design, or form) of the WPGDADABANG. You may not use the name or trademark of the rights holder in any original tag or any other "hidden text" manner. Do not remove, obscure, or alter any legal statements displayed or attached to the Service. Confidentiality All information contained within this Service constitutes confidential proprietary information of WPG. You shall not disclose or use WPG’s confidential information, except as expressly permitted under these Terms. WPG’s confidential information includes, but is not limited to, non-public sales figures, profit margins, profit figures, technologies, customers, business plans, promotional and marketing activities, financial and other business information of ours or our partners, as well as our partners’ information that we are obligated to keep confidential. Notwithstanding anything to the contrary in this provision, the foregoing confidentiality obligations shall not apply to information that: (1) becomes publicly available without breach of these Terms; (2) can be demonstrated by written evidence to have been known to you at the time of receipt from WPG; (3) is lawfully obtained from a third party who did not acquire or disclose such information through unlawful or improper means; or (4) can be demonstrated by written evidence to have been independently developed by you without reference to WPG’s confidential information. Disclaimer of Warranties and Limitation of Liability WPG will provide the Service with commercially reasonable techniques and care, and we hope that you will enjoy using it. For information regarding the data security and protection measures implemented in the cloud service, please refer to the "Cloud Services Customer Notification Statement" separately published by WPG. However, there are certain things WPG and its partners do not guarantee with respect to the Service: 1. Except as expressly provided herein, WPG makes no specific warranties with respect to the Service. For example, we do not make any commitments regarding the content in the Service, specific functions of the Service, and their reliability, availability and their ability to meet your needs. We provide the Service on an "as is" basis only. 2. Whether this Services will operate uninterrupted, punctual, safe or error-free, and whether or not any defects in the Service will be rectified. 3. Some jurisdictions may require certain warranties, such as implied warranties of merchantability, fitness for a particular purpose, and non-infringement. To the fullest extent permitted by law, we do not make any express or implied warranties, including, but not limited to, the implied warranties of merchantability and fitness for a particular purpose, and non-infringement. 4. Limitation of Liability WPG and its partners shall not be liable for direct, indirect, incidental, special, or punitive damages (including but not limited to loss of profits, loss of deposits, or business opportunities) incurred by you or your partners arising out of or in connection with the following: (1) the Service itself, or your use of or inability to use the Services, (2) any claims arising from errors, omissions, or inaccuracies in the Service, (3) unauthorized access to or alteration of your transmissions or data, or (4) any other matter relating to the Service or its content, even if WPG and its business partners have been advised of the possibility of such damages. In no event shall the liability of WPG and its partners to you in connection with the Service exceed US$100 or the minimum amount permitted under applicable law, regardless of whether such liability is based on contract, tort, or any other legal theory. Any action against WPG and its partners in connection with the Service must be brought within one (1) year from the date on which the claim arose. If the applicable law governing you prohibits the exclusion or limitation of incidental or consequential damages, these Terms shall apply to the maximum extent permitted by law. Information Security Incident Reporting WPG has established a "Breach Management Procedure" and implemented a user reporting mechanism for information security incidents. If you discover any information security–related issues while using this Service, please send the relevant information to the following email address: dadabang.support@wpgholdings.com. WPG will handle the matter in accordance with the Breach Management Procedure, and will provide a response and report on the progress of incident handling. If WPG determines, in accordance with the "Breach Management Procedure," that an incident constitutes an information security incident that affects the confidentiality, availability, or integrity of this Service, WPG will immediately initiate an incident investigation. Once the investigation results are produced, you will be notified through means including but not limited to email or notification messages within the Service. Governing Law, Applicable Version, and Dispute Resolution By using the Service, you agree that any dispute arising from product sales between you or the company you represent and WPG shall be governed by the applicable law and resolved according to the dispute resolution depending on the place of registration that the selling entity of WPG (as indicated on the packing list): (1) If the company of WPG is established in Mainland China or the Hong Kong Special Administrative Region, the laws of the People’s Republic of China shall apply, and the People’s Court of the Shenzhen-Qianhai Cooperation Zone shall be the court of first instance; (2) If the company of WPG is established in Taiwan or other regions, the laws of Taiwan all apply, and the Taipei District Court of Taiwan shall be the court of first instance. Except for the above situations, you agree that these Terms and any dispute arising from the use of WPGDADABANG between you or the company you represent and WPG shall be governed by the laws of Taiwan, and you agree that the Taipei District Court of Taiwan shall be the court of first instance. In case the court in the jurisdiction of the location of you or the company you represent prohibits the use of the laws of Taiwan as the governing law for dispute resolution or does not permit you to submit to the jurisdiction of the Taipei District Court of Taiwan as the agreed jurisdictional court, the local law or the jurisdiction and the courts of your location shall govern the dispute relating to these Terms. If any inconsistency between the Chinese version of these Terms and any other language version, the Chinese version shall prevail.
