Registration and Account Security In order to invite you to use the Service and enjoy the real-time and convenience of online services, your WPG’s sales representative contact person, who usually serves you offline, will set up your WPGDADABANG account for you based on the email address you provided and send you a registration verification letter by email, along with a default password. Please change your password immediately after your completion of the initial registration process for the Service. Please note that, in order to protect the security of your WPGDADABANG account, please be sure to keep your password safe and in confidence. You also agree to the following: (a) if your password or account is stolen or if there are any other security issues, you will immediately notify WPG’s sales representative/contact person so that they can reset it for you, and (b) to sign out of your account after each session of using. To ensure the security of your account, please avoid reusing your WPGDADABANG account password in third-party applications. If you confirm during registration, that you are using the Service on behalf of the company you serve, it means that the company you represent accepts these Terms. Through the activities performed on your account, WPG will consider it as contacting and communicating with the company you represent. If there are any changes in the company you serve or if you are no longer handling related matters on behalf of the company, please notify WPG immediately in writing to update the relevant settings. Acceptance and Updates of the Terms By using the Services, you confirm that you have read, understood, and agreed to accept all the contents of these Terms. In addition, when you use the Service, you may be required to comply with the additional service terms or related regulations announced by WPG based on the nature of that specific service. These additional service terms or related regulations (including but not limited to Privacy Policy or Cloud Service Customer Notification ) are also incorporated into and become a part of these Terms. WPG reserves the right to modify or change the contents of these Terms at any time to timely reflect changes in the law or in the content of the Service. We recommend that you pay close attention to any potential modifications or changes to these Terms. If you continue to use the Service after any modifications or changes to these Terms, it will be deemed that you have read, understood, and agreed to accept such modifications or changes. If you do not agree with the contents of these Terms, or if your country or jurisdiction excludes any or all of these Terms, you shall immediately stop using the Service. Ordering Services If you place an order for products through the Service, the information displayed on our service website, such as products and prices , is an invitation to treat, and your order will be an offer to purchase the goods. After receiving your order, we will send you an email or confirm on the website of the Service that we have received your order, but such behavior does not mean that we have accepted your order. If you wish to cancel or change the content of the order after placing it and before shipping, please be sure to contact your WPG’s sales representative/contact person to process the "order cancellation or modification" procedure. Otherwise, this will cause losses to WPG and WPG will execute the shipment and issue an invoice according to the content of your order. Compliant Use of the Service Without the explicit written consent of WPG, you agree not to reproduce, copy, sell, resell, access, or exploit the Service or any portion thereof for any commercial purpose. You agree to use the Service only within the scope permitted by law and not to misuse the Service. For example, you shall not interfere with the operation of the Service, attempt to access the Service through methods other than the interface and operating instructions provided by us, and shall not download, or copy account information, or make other use of the account, for the benefit of any third party. You shall not make any derivative use of the Service or its content, or use data extraction, web scraping or similar data collection and extraction tools. Due to the global nature of the internet, you agree to comply with the local laws and regulations of the place relating to the sales of products, and use the Service to the extent permitted by the law (including applicable export and re-export control laws and regulations). System interrupts or failure WPG will maintain the normal operation of the Service in accordance with generally reasonable techniques and methods. However, WPG may stop or suspend the Service in the following circumstances: 1) Necessary maintenance and construction for electronic communication equipment of WPGDADABANG; 2) Sudden failure of electronic communication equipment; 3) Suspension of electronic communication service applied by WPGDADABANG, resulting in the inability to provide the Service; 4) WPG is not able to provide the Service due to force majeure or other causes beyond its control. The occurrence of unexpected interruptions or failures in the Service may cause inconvenience, data loss, error, tampering or other economic losses in your use. Please take your own protective measures when using the Service, such as updating your password regularly. WPG shall not be liable for any damages incurred by you as a result of your use of (or inability to use) the Service, except in cases of intentional misconduct or gross negligence. Links to Third Party Websites The Service may provide links to other websites or online resources. By following these links, you may be directed to websites operated by other companies, but this does not imply that WPG has any relationship with those companies. Websites operated by other companies are the sole responsibility of those operating companies and are beyond the control and responsibility of WPG. WPG does not warrant the suitability, reliability, timeliness, effectiveness, accuracy and completeness of any search results or external links. You are possible to search or link to websites that you find offensive or unnecessary as a result of internet operations. In such cases, WPG recommends that you do not browse or leave such websites as soon as possible. You also agree that WPG shall not be liable for any damages resulting from your access to non-related service websites, and it shall not bear any liability for damages compensation. Protection of intellectual property rights The software, programs, and all content on the WPGDADABANG used in the Service, including but not limited to works, pictures, files, information, data, website structure, website arrangement, web design, member contents, etc., are owned by WPG or other rights holders in accordance with the law, including but not limited to trademark rights, patent rights, copyrights, trade secrets and proprietary technologies. No one may use, modify, reproduce, publicly broadcast, publicly transmit, publicly perform, create derivative works, distribute, publish, publicly disclose, reverse engineer, decompile or disassemble them without authorization. Governing Law, Applicable Version, and Dispute Resolution By using the Service, you agree that any dispute arising from product sales between you or the company you represent and WPG shall be governed by the applicable law and resolved according to the dispute resolution depending on the place of registration that the selling entity of WPG (as indicated on the packing list): (1) If the company of WPG is established in Mainland China or the Hong Kong Special Administrative Region, the laws of the People’s Republic of China shall apply, and the People’s Court of the Shenzhen-Qianhai Cooperation Zone shall be the court of first instance; (2) If the company of WPG is established in Taiwan or other regions, the laws of Taiwan all apply, and the Taipei District Court of Taiwan shall be the court of first instance. Except for the above situations, you agree that these Terms and any dispute arising from the use of WPGDADABANG between you or the company you represent and WPG shall be governed by the laws of Taiwan, and you agree that the Taipei District Court of Taiwan shall be the court of first instance. In case the court in the jurisdiction of the location of you or the company you represent prohibits the use of the laws of Taiwan as the governing law for dispute resolution or does not permit you to submit to the jurisdiction of the Taipei District Court of Taiwan as the agreed jurisdictional court, the local law or the jurisdiction and the courts of your location shall govern the dispute relating to these Terms.
